Acceptance of Terms
These General Terms and Conditions govern the use of our language-learning app parlai.app and constitute a binding contract between you as the user and Parlai FlexCo, Wohllebengasse 7/16, 1040 Vienna, Austria (hereinafter referred to as "Parlai" or "we").
By accessing or using the app, you agree to these terms. If you do not agree, you may not use our product.
By using Parlai, you also confirm that you are at least 16 years old. Persons under the age of 16 are prohibited from using Parlai.
Privacy Policy
We place great importance on protecting your privacy and personal data.
Information on how we collect, use, and store your data can be found in our Privacy Policy on our website. Please read it carefully. The use of Parlai requires your consent to the processing of your data in accordance with the Privacy Policy.
Code of Conduct
To ensure that all users have a safe and enjoyable learning experience, please behave respectfully and observe the following rules. In particular, the following is prohibited:
Harassment, discrimination, and hate speech: Any form of harassment or offensive behavior toward others (e.g., based on origin, gender, religion, etc.) is forbidden. Content that promotes hate or threatens/insults others will not be tolerated.
Obscene or violent content: The use of vulgar, explicit, or offensive language in conversations with Parlai is strictly prohibited. Likewise, no sexually explicit, violent, or otherwise inappropriate content may be shared.
Illegal activities: Do not use Parlai for unlawful purposes. You may not share criminal content or encourage illegal acts. Calls for violence, extremist propaganda, or the distribution of illegal media content are prohibited.
Spam and unwanted advertising: Do not send spam messages, chain letters, or unauthorized advertisements via Parlai. The platform is for language exchange, not for promotional messages.
Identity fraud: Do not impersonate another person, company, or member of our team. Do not misrepresent your identity or authorization to gain advantages.
Automated use: The use of bots, scripts, or automated tools is forbidden. You may not attempt to extract app content automatically (no screen scraping) or use the service in unauthorized ways.
Third-party rights: Do not upload or distribute content that violates the rights of others, including copyrighted materials or personal data without consent.
If you violate these rules, we may take appropriate action, such as removing content, issuing warnings, or suspending your account temporarily or permanently. In severe cases (e.g., criminal acts or persistent harassment), suspension may occur without prior notice.
User Content
Parlai allows you to provide your own content (e.g., text or voice input). Such user content is stored on our servers to enable service functionality (e.g., viewing chat history).
You are solely responsible for your content and must ensure it is lawful and does not infringe on others' rights. Parlai is not liable for user content and does not perform pre-screening. However, we may remove content or restrict access if there are indications of violations.
Do not disclose sensitive personal information. If a third party asserts claims against us because of your content (e.g., for rights violations), you agree to indemnify and hold us harmless for resulting damages and costs.
Intellectual Property
Parlai and all associated materials (including software, source code, text, graphics, audio, trademarks, and designs) are either our intellectual property or licensed to us.
These materials are protected by copyright and trademark laws. You receive a personal, revocable, non-transferable right to use Parlai for private purposes under these GTC.
You may not copy, modify, distribute, or publicly display Parlai content outside the app without prior written consent. Reverse engineering or mass extraction (scraping) is also prohibited unless explicitly permitted.
Violations may result in legal action or account suspension.
Paid Services and Payment
Parlai is generally free to use. If you opt for a paid plan, all prices and terms will be clearly communicated before purchase. A binding contract is concluded once we send a confirmation email or activate the paid service.
Payment and Subscription: Payment is processed through your chosen method (e.g., credit card, PayPal). Prices include applicable VAT. Subscriptions renew automatically unless canceled. Fees are charged in advance at the start of each period.
Cancellation: You may cancel at any time before the end of the current term. The service remains available until that period ends. No refunds for ongoing periods.
Price Changes: We may adjust prices for future terms (e.g., due to new features or market changes). You'll be informed in advance and may cancel before the new price takes effect. Continued use constitutes acceptance.
Payment Default: If payment fails (e.g., expired card, insufficient funds), we may suspend service or terminate the contract after notice. Resulting costs (e.g., chargeback fees) may be charged to you.
Disclaimer and Limitation of Liability
Parlai is provided "as is" without warranties of any kind. While we strive for quality, we do not guarantee error-free operation, accuracy of information (especially AI responses), or specific learning outcomes.
To the extent permitted by law, we disclaim liability for damages related to the use or inability to use Parlai, including reliance on advice or AI-generated content. Indirect, consequential, or data-loss damages are excluded unless required by law.
Applicable Law and Jurisdiction
These GTC are governed by Austrian law, excluding international private law and the UN Sales Convention.
The competent court in Vienna, Austria, shall have jurisdiction for all disputes, where legally permissible.
Changes to the GTC
We continuously improve Parlai and may update these terms accordingly. Changes may occur due to legal requirements, new features, or identified gaps.
If you disagree with new terms, you may stop using Parlai and terminate your account or subscription. Continued use after the new terms take effect constitutes acceptance.
Right of Withdrawal
No right of withdrawal applies to free services.
For paid digital services, no withdrawal right exists once you've consented to immediate performance and acknowledged the loss of withdrawal rights upon commencement.
Accordingly, you have no right of withdrawal when using Parlai.
Final Provisions
If any clause is invalid or unenforceable, the rest of the agreement remains valid. The invalid provision will be replaced by the applicable statutory rule or a clause that best reflects the intended purpose.
Our failure to enforce any provision does not constitute a waiver of our rights to enforce it later.
